These Terms of Service govern your access to and use of Wurkbox, including the Wurkbox website, software applications, mobile applications and related services.
By creating an account, accessing or using Wurkbox, you agree to these Terms of Service. If you do not agree to these terms, you must not use Wurkbox.
1. About Wurkbox
Wurkbox is a software as a service platform designed to help businesses manage aspects of their operations, including customers, enquiries, quotes, jobs, tasks, scheduling, expenses, invoicing, payments, reporting and related business processes.
Features may vary depending on your subscription, device, location and the version of the service you are using.
In these terms, Wurkbox, we, us and our refer to the operator and provider of the Wurkbox service.
You and your refer to the individual or organisation using Wurkbox.
2. Eligibility and authority
You must be legally capable of entering into a binding agreement to use Wurkbox.
If you use Wurkbox on behalf of a business, company or other organisation, you confirm that you have authority to accept these terms on behalf of that organisation.
In that case, references to "you" include both you and the organisation you represent.
You must provide accurate information when creating and maintaining your account.

Where you use Wurkbox to store personal information about your customers, employees or other individuals, you remain responsible for your own obligations under applicable privacy and data protection laws.
8. Data security
We take reasonable technical and organisational measures intended to protect Wurkbox and information stored within the service.
However, no internet based service or electronic storage system can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security practices within your own organisation, including securing devices, passwords, user accounts and access permissions.
You should notify us promptly if you become aware of unauthorised access to your Wurkbox account.
9. Data availability and backups
We take reasonable measures to maintain the availability and integrity of Wurkbox data.
However, you acknowledge that software and online services may occasionally experience outages, errors, delays or data loss.
Where information stored within Wurkbox is critical to your business, you should maintain appropriate independent records or exports where reasonably practical.
We do not guarantee that Wurkbox will operate continuously or without interruption.
Nothing in this section limits any rights that cannot lawfully be excluded.
10. Subscriptions and paid services
Some Wurkbox features may require a paid subscription.
The applicable subscription price, billing period and included features will be presented when you subscribe or otherwise agreed with you.
Unless otherwise stated, subscriptions continue for the applicable billing period until cancelled.
You authorise the relevant payment provider to charge applicable subscription fees and taxes using your selected payment method.
Subscription features, limits and pricing may change from time to time. Where a change materially affects an existing paid subscription, reasonable notice will be provided where required by law.
11. App Store subscriptions and purchases
If you obtain Wurkbox or purchase a subscription through the Apple App Store, payment, billing, renewal, cancellation and refunds may also be subject to Apple's applicable terms and policies.
Where a subscription is managed by Apple, you may need to manage or cancel that subscription through your Apple account or device settings.
We do not control Apple's billing systems or refund processes.
Any rights available to you under applicable consumer law continue to apply.
12. Free trials and promotional access
We may offer free trials, introductory pricing, promotional plans or other limited access from time to time.
Additional conditions may apply to those offers.
Unless otherwise stated, a free trial may convert to a paid subscription at the end of the trial period if you have authorised a payment method and have not cancelled before the trial ends.
The availability and duration of promotions may change.
13. Cancellation
You may cancel a subscription in accordance with the cancellation method available for the service through which you subscribed.
Cancellation normally prevents future renewal and does not necessarily result in an immediate refund of amounts already paid, except where required by law or where otherwise stated.
If your subscription was purchased through an app marketplace, cancellation may need to be completed through that marketplace.
Your access to paid features may continue until the end of the current paid billing period.
14. Refunds and consumer rights
Refund requests are considered in accordance with applicable law and, where a purchase was made through a third party marketplace, the applicable marketplace processes.
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including rights that may apply under the Australian Consumer Law.
Where the Australian Consumer Law applies, Wurkbox services come with guarantees that cannot be excluded under that law.
15. Changes to the service
Wurkbox will continue to develop over time.
We may add, modify, replace or discontinue features where reasonably necessary to:

18. Third party services and integrations

We do not control third party services and cannot guarantee their continued availability, functionality or compatibility with Wurkbox.
Features relying on a third party service may change or cease to operate if that third party changes or discontinues its service.

19. Artificial intelligence and automated features
Wurkbox may include artificial intelligence, automation or machine generated features.
Outputs generated by these features may be incomplete, inaccurate or unsuitable for a particular purpose.
You remain responsible for reviewing information, recommendations, calculations, documents or other outputs before relying on them or using them in your business.
Automated or artificial intelligence features should not be treated as professional legal, financial, accounting, tax or other regulated professional advice.
20. Quotes, invoices, calculations and business information
Wurkbox may provide tools for preparing quotations, estimates, invoices, pricing, costs, profitability calculations, reports and other business information.
These tools are provided to assist you with managing your business.

21. Payments and transactions
Where Wurkbox facilitates payments or links to payment providers, payment processing may be performed by independent third party providers.
Separate provider terms, fees and verification requirements may apply.
Unless expressly stated otherwise, Wurkbox is not a bank, financial institution or payment card issuer.
We are not responsible for delays, declined payments, chargebacks or other payment processing issues caused by third party payment providers, except to the extent responsibility cannot lawfully be excluded.
22. Intellectual property
Wurkbox, including its software, interface, design, branding, graphics, documentation, databases, functionality and underlying technology, is owned by or licensed to us and is protected by applicable intellectual property laws.
Except for the limited right to use the service granted under these terms, no intellectual property rights in Wurkbox are transferred to you.
Wurkbox and associated names, logos and branding may not be used without permission except where permitted by law.
23. Feedback
If you provide suggestions, ideas or feedback about Wurkbox, you agree that we may use that feedback to develop or improve the service without restriction or obligation to compensate you.
This does not give us ownership of your business data or confidential information.
24. Confidential information
Each party may receive confidential information from the other in connection with the use or provision of Wurkbox.

25. Suspension

We do not warrant that every feature will meet every user's individual business requirements or that the service will always be uninterrupted or completely free from errors.
You are responsible for determining whether Wurkbox is appropriate for your business and for maintaining reasonable business continuity procedures.
Nothing in these terms excludes any guarantee, warranty, condition or right that cannot lawfully be excluded.
29. Limitation of liability
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special or consequential loss that was not reasonably foreseeable, including loss of opportunity or anticipated profit.
Where liability cannot lawfully be excluded but may be limited, our liability will be limited to the extent permitted by applicable law.
Nothing in these terms limits liability where doing so would be unlawful.
Nothing in these terms excludes or restricts rights or remedies available under the Australian Consumer Law where those rights or remedies cannot legally be excluded or restricted.
30. Your responsibility for your business
Wurkbox provides software tools to assist with business administration and management.
You retain responsibility for decisions made in operating your business, including:

31. Indemnity
To the extent permitted by law, you are responsible for loss suffered by us as a direct result of your unlawful use of Wurkbox, infringement of another person's rights, or material breach of these terms.
This provision does not require you to compensate us for loss caused by our own negligence, misconduct or breach of law.
32. Apple App Store
Where you download or use the Wurkbox application through the Apple App Store, you acknowledge that:
Unless a separate custom end user licence agreement is expressly provided for Wurkbox through the App Store, Apple's Standard End User Licence Agreement applies to the licence of the Wurkbox iOS application.
These Terms of Service govern your use of the Wurkbox service and your relationship with Wurkbox in addition to any applicable Apple terms.
33. International use
Wurkbox may be accessible from locations outside Australia.
You are responsible for ensuring that your use of Wurkbox complies with laws applicable to you and your business.
The availability of Wurkbox in a particular country does not represent that every feature is suitable or legally compliant for every business operating in that country.
34. Export and sanctions compliance
You must not use, export or otherwise make Wurkbox available in breach of applicable export control, sanctions or trade restriction laws.
Where required by applicable platform rules or law, you confirm that you are not located in a prohibited jurisdiction and are not a prohibited or restricted party.
35. Changes to these terms
We may update these Terms of Service from time to time to reflect changes to Wurkbox, our business, legal requirements or industry practices.
The current version will be published on the Wurkbox website with the date it was last updated.
If a change materially affects your rights or obligations, we will take reasonable steps to provide notice where required.
Continued use of Wurkbox after updated terms take effect constitutes acceptance of those updated terms, to the extent permitted by law.
36. Transfer
You may not transfer your rights under these terms to another person without our consent.
We may transfer our rights and obligations in connection with a genuine sale, restructure or transfer of the Wurkbox business, provided this does not reduce rights that cannot lawfully be reduced.
37. Severability
If any part of these terms is found to be invalid or unenforceable, that part will be interpreted or removed to the minimum extent necessary and the remaining provisions will continue to apply.
38. No waiver
If either party does not immediately enforce a right under these terms, that does not mean the right has been waived.
39. Entire agreement
These Terms of Service, together with the Privacy Policy and any subscription or service terms expressly agreed between us, form the agreement governing your use of Wurkbox.
40. Governing law
These terms are governed by the laws applicable in New South Wales, Australia and the laws of the Commonwealth of Australia that apply there.
Subject to any rights you may have to bring proceedings elsewhere under applicable consumer law, disputes relating to these terms may be brought before the courts and tribunals having jurisdiction in New South Wales.
41. Resolving concerns
If you have a question, complaint or concern about Wurkbox, you should contact us through the contact or support methods made available on the Wurkbox website or within the application.
We will aim to review genuine concerns and work towards a reasonable resolution.
Nothing in this section limits any right to contact a regulator, consumer protection body or court where you are entitled to do so.

By creating an account, purchasing a subscription, downloading the application or otherwise using Wurkbox, you acknowledge that you have read and agree to these Terms of Service.
